By using our SEO services, website, audits, consultations, or any related offerings, you (“Client,” “you,” or “your”) agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must discontinue use of our website and services immediately.
1. Introduction
PexNet is a specialized SEO agency dedicated to helping small businesses achieve strong local visibility, niche authority, and scalable organic growth. Our services include local SEO, technical SEO, content creation, website optimization, Google Business Profile management, and related support.
These Terms establish the legal framework for the relationship between PexNet and its Clients. Any additional agreements - such as SEO Proposals, Contracts, Service Packages, or Retainers - form part of these Terms and must be read together for a full understanding of obligations and expectations.
2. Services Provided

The exact scope of work for each Client is outlined in writing before the start of any project. Requests or tasks that fall outside the agreed scope may be subject to additional fees, which will be communicated in advance.
3. Independent Contractor Relationship
PexNet operates strictly as an independent contractor. Nothing in these Terms establishes an employer - employee relationship, partnership, or agency arrangement. Clients are not responsible for providing employment benefits, tax contributions, insurance, or equipment to PexNet or its team members.
We retain the right to determine our own methods, workflows, and internal processes needed to deliver services effectively, unless otherwise agreed in writing.
4. Payment Terms
Fees for services are outlined in the relevant proposal or service agreement. Unless otherwise stated:
4.1 Invoices

Invoices are due within 7 days of issuance.

Delayed or missed payments may result in temporary suspension of services.

Any service requiring upfront investment, including audit fees or retainers, must be paid before work commences.

You can disable or manage cookies through your browser settings. However, doing so may affect certain site features.
4.2 Additional Expenses
If third-party tools, paid software, ads, or subscriptions are required for your project, we will notify you and obtain approval before incurring costs. These expenses will be billed separately.
5. Retainers and Unused Hours
If you engage PexNet on a retainer basis, you agree to the following:
Retainer hours must be prepaid.
Hours are valid only within the specific billing cycle and do not roll over unless explicitly agreed in writing.
Work exceeding retainer hours will be billed at our standard hourly rate or at a rate agreed in your service plan.
Unused hours are non-refundable unless a written exception has been approved.
6. Client Responsibilities
To perform SEO services effectively, the Client agrees to:
Provide timely access to necessary accounts, platforms, and systems
Supply accurate business information, branding materials, and login credentials
Clearly communicate goals, expectations, and instructions
Respond promptly to questions or approval requests
Ensure their website complies with all legal and regulatory requirements applicable to their industry
You remain responsible for decisions made using our recommendations, and for maintaining compliance with legal obligations in your jurisdiction.
PexNet cannot be held responsible for delays caused by lack of access, missing information, or unresponsive communication.
7. Communication and Availability
PexNet communicates with clients via email, project management tools, or messaging platforms as agreed. While we aim to respond promptly, we do not guarantee 24/7 availability unless explicitly included in your service agreement.
Meetings, strategy calls, or consultations outside your plan may incur additional fees and must be scheduled in advance.
8. Deadlines and Project Changes
PexNet will make reasonable efforts to meet agreed delivery timelines. However:

Changes to the project scope, strategy, or requirements may impact timelines and fees.

Unforeseen technical issues, third-party platform outages, or algorithm changes may affect delivery.
We will communicate adjustments transparently whenever such situations arise.
9. Confidentiality and Data Protection
Both parties agree to maintain strict confidentiality regarding sensitive information, including:

Business data

Login credentials

Marketing strategies

Campaign insights

Proprietary assets
We will not disclose Client information to third parties unless necessary to deliver services, required by law, or with your explicit consent.
PexNet complies with relevant data protection laws. Clients must ensure that any data or system access they provide is lawful and authorized.
10. Intellectual Property
10.1 Client Ownership
Upon full payment, you gain ownership of:

Content created specifically for your campaign

Reports, audits, or deliverables
-
SEO strategies developed uniquely for your business
10.2 PexNet Ownership
We retain ownership of:

Pre-existing methodologies, templates, tools, processes

Proprietary SEO frameworks
-
Internal workflows
Unless otherwise agreed, we may showcase anonymized examples of completed work for marketing, portfolio, or case study purposes.
11. Confidentiality and Data Protection
Both parties agree to maintain strict confidentiality regarding sensitive information, including:

Business data

Login credentials
-
Marketing strategies
-
Campaign insights
-
Proprietary assets
We will not disclose Client information to third parties unless necessary to deliver services, required by law, or with your explicit consent.
PexNet complies with relevant data protection laws. Clients must ensure that any data or system access they provide is lawful and authorized.
12. Termination
Either party may terminate the agreement by providing 7 days’ written notice. PexNet reserves the right to terminate immediately if:

You fail to pay invoices

You breach these Terms

You engage in abusive, fraudulent, or unlawful behavior
Upon termination:

All outstanding fees become immediately due

We will deliver completed work up to the termination date, provided payments are settled
13. Refunds and Cancellations
Payments made to PexNet are non-refundable, unless stated otherwise in a written agreement. If the Client cancels services before completion:

You remain responsible for all charges incurred up to the cancellation date

Prepaid fees may be retained to cover the time and resources already invested
PexNet does not guarantee SEO outcomes, rankings, or traffic improvements within specific timeframes.
14. Limitation of Liability
Our services are provided “as is,” without any guarantee of specific results. SEO involves variables outside our control, including:

Search engine algorithm updates

Market competition
-
Technical limitations
-
External content or hosting issues

Third-party platform changes
To the fullest extent permitted by law:

PexNet’s liability is capped at the amount you paid for services in the three (3) months preceding the claim

We are not liable for indirect, incidental, consequential, or financial losses resulting from service use
15. Dispute Resolution
If a dispute arises, both parties agree to attempt resolution through good-faith communication.
If a resolution cannot be reached, disputes may be submitted to mediation or arbitration before any court proceedings.
16. Changes to Terms
PexNet may update these Terms periodically. When changes are significant, we will notify active Clients through email or a notice on our website. Continued use of our services constitutes acceptance of updated Terms.
17. Governing Law
These Terms are governed by the laws of the jurisdictions in which PexNet operates. Legal proceedings related to these Terms may be brought only in the courts of those jurisdictions.
18. Entire Agreement
These Terms, together with any applicable Proposals or Service Agreements, represent the entire agreement between you and PexNet. They supersede all prior discussions, messages, or understandings.
